1. Acceptance of these Terms
These Terms & Conditions ("Terms") form a binding legal agreement between you ("you", "your", or the "Customer") and GNexis ("GNexis", "we", "us", or "our"). By creating an account, signing in with Google, connecting a website, or otherwise accessing or using the GNexis platform (the "Service"), you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not use the Service.
2. The Service
GNexis is an SEO operations platform that helps marketing agencies and businesses plan keywords, monitor Google Search Console and Google Analytics performance, generate AI-assisted blog content, and publish or schedule posts to a connected WordPress site. Features, models, and integrations may be added, modified, or removed over time.
3. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. If you use GNexis on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
4. Account and security
You are responsible for maintaining the confidentiality of your account credentials, including any Google OAuth refresh token issued to your workspace, any WordPress application password, and any admin email/password combination. You agree to notify us immediately at [email protected] if you suspect unauthorized access. You are responsible for all activity that occurs under your account, including activity by users you invite to your workspace.
5. Plans, billing, and trials
Some features of the Service are offered on a paid subscription basis. Pricing, billing frequency, included usage limits (such as monthly post limits), and any free trial terms are presented in-app or in a separate order form. Fees are non-refundable except where required by law. We may change prices on prospective renewals with at least 30 days' notice. Failure to pay may result in suspension or termination of your account.
6. Acceptable use
You agree not to:
- Use the Service for any unlawful, infringing, harmful, deceptive, or abusive purpose.
- Generate or publish content that is defamatory, hateful, harassing, sexually explicit involving minors, or that infringes intellectual property or privacy rights.
- Attempt to access another customer's data, reverse-engineer the Service, or bypass security controls.
- Use the Service to send spam, malware, or to artificially manipulate search rankings in a way that violates Google's Webmaster Guidelines or any other search engine's terms.
- Resell, sublicense, or white-label the Service without a written agreement with us.
- Use the Service to crawl websites you do not own or have explicit permission to analyze, beyond crawling your own configured business website.
We may suspend or terminate accounts that violate these rules.
7. Auto-publish responsibility
When you enable auto-publish mode for a client workspace, you authorize GNexis to publish AI-generated blog posts directly to your connected WordPress site at the schedule you select, without manual review of each individual post. You acknowledge that:
- You remain solely responsible for the content that appears on your website.
- You are responsible for monitoring your site after publication and for removing or correcting any post that is inaccurate, off-brand, infringing, or otherwise inappropriate.
- AI-generated content can contain factual errors, outdated information, or unintended phrasing despite our quality controls.
- Your consent is recorded with the policy version, IP address, user agent, and timestamp, and can be revoked from the dashboard at any time. Switching back to manual approval mode pauses future auto-publishing.
Manual approval mode is the recommended default and gives you the ability to review, edit, approve, or reject each post before it goes live.
8. Content and intellectual property
Your content. You retain all rights in the business data, brand assets, keywords, briefs, post drafts, and other materials you upload or generate within your workspace ("Customer Content"). You grant GNexis a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, modify (for formatting), and process Customer Content solely as needed to provide the Service.
Generated content. Subject to your payment of applicable fees and compliance with these Terms, you own the AI-generated outputs returned to your workspace, to the extent such ownership is permissible under applicable law and the underlying model provider's terms. You are responsible for reviewing generated content before relying on or publishing it.
Our property. The Service itself — including the platform, software, interface, prompts, internal models, branding, documentation, and aggregated/anonymized metrics — is and remains our property and is protected by intellectual property laws.
9. Third-party integrations
GNexis integrates with third-party services including Google (Search Console, Analytics, Keyword Planner), WordPress, Supabase, Vercel, OpenAI, and Anthropic. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the availability, content, or behavior of third-party services, and changes by those providers may affect GNexis functionality.
10. AI-generated content disclaimer
The Service uses large language models from third-party providers to generate keywords, outlines, drafts, and other content. AI output may be inaccurate, incomplete, biased, or otherwise unsuitable. You must review AI output before relying on it for business, legal, medical, financial, or other consequential decisions. GNexis does not guarantee that generated content will achieve any particular ranking, traffic, conversion, or revenue outcome.
11. Service availability
We strive to keep the Service available 24/7 but do not guarantee uninterrupted access. Maintenance windows, third-party outages, dependency rate limits (Google, OpenAI, Anthropic, WordPress hosts), or force majeure events may cause downtime or delayed syncs. Where we offer a service-level agreement, it will be provided in a separate document or order form.
12. Suspension and termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, fail to pay fees when due, create a security or legal risk for us or other users, or if continued provision is no longer commercially reasonable. On termination, your right to use the Service ends immediately. We will retain or delete your data as described in the Privacy Policy.
13. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. NO ADVICE OR INFORMATION OBTAINED FROM US OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL GRANK, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR SEARCH RANKING, ARISING OUT OF OR RELATED TO THE SERVICE.
OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.
15. Indemnification
You agree to defend, indemnify, and hold harmless GNexis and its affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising from (i) your use of the Service in violation of these Terms or applicable law; (ii) Customer Content, including content auto-published to your WordPress site; or (iii) your violation of any third party's rights, including intellectual property or privacy rights.
16. Governing law and venue
These Terms are governed by the laws of Malaysia, without regard to its conflict-of-laws principles. The courts located in Kuala Lumpur, Malaysia will have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service, except that we may seek injunctive relief in any competent court to protect our intellectual property.
17. Changes to the Terms
We may update these Terms from time to time. The "Last updated" date reflects the latest version. If a change is material, we will provide reasonable advance notice (for example via email to the workspace owner or an in-app banner). Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
18. Miscellaneous
These Terms (together with the Privacy Policy and any order forms) are the entire agreement between you and GNexis regarding the Service, and supersede any prior agreements. If any provision is held unenforceable, the remainder will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
